Artist Terms
These terms explain how artists work with Green Noise Records, LLC (GNR) to make and sell Jukebox musical trading cards and authorize the music and artwork that bring them to life.
You buy cards wholesale, choose your resale price, and keep your resale proceeds. GNR receives the agreed wholesale price and takes no commission or percentage of your resale sales.
You keep ownership of your music and artwork. You give GNR permission to use approved material for Jukebox, including cards, playback, trading, and Jukebox promotion. No separate license fee or per-play royalty is payable to you unless separately agreed in writing. Approved licenses continue after you stop participating, subject to Section 7.
1. Working together
“You” means the individual or legal entity identified in the acceptance record, acting for the rights it owns or is authorized to license. An artist or band name alone does not identify the legal rights holder. You must have legal capacity to agree; a person acting for someone else must identify that party and have documented authority.
These terms apply when you expressly accept this identified version in a retained electronic or written record. Reading this page, creating an account, or uploading files alone does not authorize publication. Your accepted terms, approved submission records, and any mutually accepted written exceptions form our agreement. A submission may contain one work or a whole release.
In exchange for your permissions, GNR agrees to honor the limits below, keep licensing records, provide the stated attribution, and perform the notice duties it undertakes. Participation does not guarantee publication, orders, sales, or earnings.
2. Wholesale cards and your sales
You purchase cards from GNR at the wholesale price agreed for your order. You independently choose whether, where, and at what price to resell them, subject to applicable law. You keep all proceeds from your own sales; GNR takes no resale commission or revenue share. Your profit depends on your wholesale costs and any selling expenses, taxes, or payment-provider fees you incur.
Before you commit to an order, the quote or order confirmation must identify the cards, quantity, price, applicable taxes and shipping charges, payment terms, and delivery arrangements. Any minimum quantity, cancellation, or return conditions must also be disclosed and agreed before purchase. These Artist Terms do not set a wholesale price, create an order, authorize a charge, or impose a recurring purchase obligation. Later price changes do not change an already accepted order.
You are responsible for your customer transactions, accurate product descriptions, applicable sales taxes, and customer service and refunds required of you as the seller. Describe physical cards and their digital access accurately: an already redeemed card requires a supported in-app trade to transfer its entitlement. Do not promise copyright ownership or unrestricted music use.
Contact GNR promptly about damaged, defective, missing, or incorrect cards. We will review the issue and provide the remedy required by the agreed order and applicable law. These terms do not waive mandatory warranties or remedies.
3. Authorizing a release
Each submission must identify the exact recordings, underlying compositions and lyrics, artwork, and any other supplied material; their owners and licensing authority; credits; and any restrictions or release instructions. Disclose relevant collaborators, publishers, labels, samples, beats, stock assets, and collecting-society affiliations. Keep supporting permissions. Paying for work or being a bandleader does not by itself establish authority to license every contribution.
Your license for each item takes effect when the required rights-holder approvals, supporting authority, and GNR’s acceptance have been recorded. Until then, GNR may privately store, copy, and review submitted material only to the extent you can authorize that evaluation. Unresolved material must remain unpublished.
Later submissions can use these same terms with a short authorization identifying the new assets. A representative can approve for others only within a documented appointment; otherwise the necessary rights holders must approve. New versions, additional rights, or changed restrictions require an updated authorization. Each rights holder is responsible for its own grants and assurances.
4. Permission to use your music and artwork
You retain ownership and may license your material elsewhere. For each approved item, you grant GNR a worldwide, nonexclusive license, for the duration in Section 7, to exercise the rights you control to:
- Store, back up, copy, encode, host, transmit, distribute, make available, and publicly perform the recordings and compositions through Jukebox, including streaming, buffering, app-managed downloads, and offline playback.
- Make, reproduce, display, advertise, sell, and distribute Jukebox cards and packaging using the approved music, artwork, names, logos, and other supplied material, and operate redemption, collection, and trading.
- Display the material and credits in Jukebox apps, websites, players, and store listings, and use it in promotion specifically for Jukebox, including excerpts or full works where reasonably appropriate and music paired with promotional video or animation.
These permissions cover the necessary recording, composition, reproduction or mechanical, distribution, performance, display, and synchronization rights within your authority. They do not authorize unrelated merchandise or projects, separate sale of your media outside Jukebox, generative-AI training, voice or likeness cloning, or endorsement of unrelated products.
GNR may make reasonable technical and layout adaptations, such as conversion, normalization, cropping, resizing, and adding card frames or identifiers. Remixes, substantial creative alterations, or deceptive changes to your identity require separate written permission. GNR will use your supplied artist credit in associated catalog or playback information and on cards where reasonably practicable, and correct reported credit errors within a reasonable time. No blanket waiver of moral rights is required.
5. Listener access and trading
You authorize unlimited personal, noncommercial playback while a listener’s account holds a valid entitlement to a song, including the copies and transmissions needed to provide it. A supported trade can transfer that entitlement repeatedly to successive listeners without a new artist license or an additional payment to you for each play or transfer.
Trading away the last qualifying entitlement ends that account’s playback permission; holding another qualifying card preserves access. Account deletion ends the account’s playback permissions. Offline devices may learn of these changes on later synchronization, and GNR will use reasonable controls to disable playback when they do. This does not authorize continued listening after entitlement ends or promise instant remote erasure. Listeners receive no copyright ownership, redistribution right, or public-performance license.
6. License payments and other rights holders
The commercial model is your purchase and resale of wholesale cards. Unless we separately agree in writing, GNR owes you no license fee, advance, per-play royalty, card-sale royalty, or revenue share for the uses you authorize here. GNR does not take a share of your resale proceeds. Any separate compensation arrangement must identify the affected material and terms.
This royalty-free grant applies only to rights and payments you can lawfully license or waive. It does not eliminate another person’s rights, mandatory remuneration, or obligations to a publisher, collecting society, union, or other third party. Disclose anything that could prevent the proposed use. You remain responsible for your own contributor agreements; GNR remains responsible for licenses and payments required of it by law or its own agreements. An artist’s assurance cannot supply a missing third-party permission.
7. Duration and leaving Jukebox
You may stop submitting material or ordering cards at any time, subject to existing orders. Each completed license continues for the full duration of the licensed rights, including renewals and extensions, to the extent law permits. Stopping participation, closing an account, or requesting removal does not by itself revoke an approved license. This supports existing cards, repeated trades, and continued authorized Jukebox use.
You may report a rights issue or request removal. GNR may suspend or remove material to address rights, safety, or operational concerns. Nonwaivable termination rights and remedies for breach remain available; a binding legal determination or written settlement may affect an existing license. Nothing promises that Jukebox or every feature will operate forever.
8. Service providers and a future Jukebox owner
GNR may authorize hosting providers, printers, stores, and other contractors to handle approved material only as needed for the permitted Jukebox uses, and grant listeners the access described above. GNR remains responsible for keeping those permissions within this agreement.
You permit transfer of the agreement with a genuine sale, merger, or transfer of Jukebox as a continuing project or substantially all assets needed to operate it. The successor must assume the obligations in writing and keep the same project limits. Media rights cannot be sold separately from Jukebox under these terms. GNR will provide reasonable notice and updated contact details; transfer does not excuse its earlier breaches or let it keep using the media independently afterward.
9. Records and rights notices
We will retain the accepted terms, asset lists, identities and capacities of accepting parties, approvals and timestamps, and supporting permissions. You may request a copy of your records. Revoking a representative’s appointment stops future approvals within that appointment once GNR receives notice; it does not undo valid earlier grants.
Tell us about applicable publisher or collecting-society notice requirements. You authorize GNR to prepare and send accurate direct-license notices for your approved rights through accepted channels. This does not authorize changing ownership splits, withdrawing your catalog from a society, or accepting paid licenses for you. For notices GNR undertakes, it will track deadlines, preserve transmission evidence, provide you a copy, and report failures. If personal submission is required, you must complete it. Neither delegation nor a submitted notice replaces rights clearance or extends a deadline.
Relevant records may be shared as reasonably needed with service providers, app stores, legal advisers, or a prospective Jukebox purchaser under confidentiality obligations to operate the service or establish rights. Unnecessary personal information should be omitted. Licensing evidence may need to be retained after participation ends to document continuing permissions and legal obligations.
10. Changes and interpretation
We may publish revised terms for future acceptance, but changing this page does not rewrite an existing agreement. Changes to your accepted license terms require mutual written or electronic acceptance. Earlier agreements, including an accepted Artist Agreement Version 2, remain governed by their accepted terms unless expressly amended. A submission or order exception controls only the matter it expressly addresses.
This agreement does not create employment, a partnership, exclusivity, or a transfer of your copyright. Applicable law and mandatory protections prevail. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law.
